I spent nearly a decade running high-stakes M&A and securities work at Schulte Roth & Zabel and BakerHostetler, then went in-house as a General Counsel and lived with deal documents from the operator's side. Both billion-dollar exits I helped lead — a PE-backed telecom company and a PE-backed government contracting business — closed because the structure was right long before the signature pages went out.
What you get on a deal
- Deal design. LOI and term sheet strategy, purchase price mechanics, earnouts, rollover equity, escrows, and the tax and governance structure that determines what you actually keep.
- Negotiation leadership. I run the negotiation — reps and warranties, indemnification, disclosure schedules, closing conditions — and I keep the deal moving. Deals die from drift more often than disagreement.
- Diligence that matters. I focus diligence on the handful of issues that change price or kill deals, not a 400-line checklist.
- Closing execution. Signing to closing without surprises: consents, financing coordination, regulatory conditions, and a closing checklist that actually closes.

Do you handle both buy-side and sell-side M&A? Yes. Roughly half my transaction work is each. Knowing the other side's playbook is most of the game.
What size deals do you take? Most engagements fall between $5 million and $250 million in enterprise value. I've closed at $1 billion+. Below $5 million, I'll tell you honestly whether the fee makes sense for you.
Do you work with companies outside New York? Yes. I'm admitted in New York and serve clients nationally, with local counsel where a deal needs it.
What does M&A counsel cost? Hourly at $680–$800, or a fixed fee scoped to the deal. Either way, you know the number before we start.
