About the service

Treasury policy, custody controls, and M&A for companies that hold Bitcoin or are built on it.

Most lawyers advertising a crypto practice learned Bitcoin from a CLE. I hold it in self-custody, my firm holds it on the balance sheet, and I take it for fees.

That distinction matters more than it sounds. Treasury policy written by someone who has never moved coins between wallets reads like it was written by someone who has never moved coins between wallets, and your board, your auditor, and eventually your acquirer will all notice.

This year I filed to be amicus curiae in New York Supreme Court opposing a claim to roughly 3.8 million dormant bitcoin, brought by a party holding a list of publicly visible addresses and no private keys. The theory ran on New York's lost property statute, which covers money, goods, chattels and tangible personal property — none of which a private key is. Compiling addresses off a block explorer is observation, not possession. The court stayed the case. The filing was covered by The Block, Bloomberg, Protos and others. I did it pro bono, because a ruling that a court can order coins to move would have reached every holder in the state.

What I cover

  • Corporate Bitcoin treasury. Board-approved treasury policy, allocation and rebalancing rules, accounting posture, and the documentation a lender or acquirer will ask for later. Read the long version: From Cash to Coin: The CEO's Guide to the Strategic Bitcoin Reserve Model.
  • Custody and controls. Self-custody architecture, multisig quorums and signer policies, key ceremony documentation, succession and incapacity planning, and the internal controls that let a board sign off on holding a bearer asset.
  • Crypto and Bitcoin-native M&A. Buying or selling a company with BTC on the balance sheet, mining and infrastructure assets, or a Bitcoin-native business. Diligence on custody is diligence. An unverified key is an unverified asset.
  • Capital and commercial. Raises, SAFEs, vendor and payment agreements, BTC-denominated revenue, and the contract terms that decide who carries volatility.
  • Executive and personal. Estate and succession planning for self-custodied holdings, and the personal counsel side for founders whose net worth sits on a chain.

Who hires me

Companies putting Bitcoin on the balance sheet for the first time, and boards that want the policy to survive an audit. Bitcoin-native businesses that need ordinary corporate counsel from someone who doesn't need the model explained. Buyers and sellers where BTC is part of the consideration or part of the asset. Executives with meaningful self-custodied holdings and no plan for what happens if they are hit by a bus.

Common questions

Do you only take Bitcoin clients? No. Most of the practice is ordinary M&A and fractional GC work. Bitcoin is where I have an edge, not the whole business.

Are you a token or securities regulatory specialist? No. I do corporate and M&A. When a token offering or a licensing question needs a specialist, I bring one in and stay on the file.

Do you actually accept bitcoin for fees? Yes, and I have.

What does it cost? $680 to $800 an hour depending on the matter, or a fixed fee scoped to the work.
