Is a virtual general counsel the same as a fractional general counsel?

Usually, yes. Virtual general counsel, fractional general counsel, outsourced general counsel, and part-time GC are mostly different names for the same arrangement: a senior lawyer who acts as your company's GC on a retainer without being on payroll. The label matters less than three questions: who actually does the work, how senior they are, and whether they sit in your leadership conversations.

The industry has not settled on a name. Virtual, fractional, outsourced, part-time, and on-demand get used interchangeably, and some firms use virtual simply to mean remote. The name tells you very little about what you are buying.

Three questions that matter more than the label

Who does the work? Some services marketed as a GC route each question to whichever lawyer is free. That is a legal helpdesk. It can be useful, but it is not a General Counsel, because nobody on the other end knows your business.

How senior are they? The value of a GC is judgment: knowing which contract term matters, which risk to take, which fight to skip. That comes from years of deals and years in the seat. Ask how many transactions they have closed and whether they have ever been in-house.

Are they in the room? A GC who joins the leadership meeting, knows the revenue plan, and hears about the hire before it happens prevents problems. One who answers tickets after the fact cleans them up.

Remote is fine

Where the lawyer sits is the least important question. Most of a GC's work happens in documents, calls, and Slack. What matters is that the same senior person shows up every week and knows the company.

Where the line is

If you need occasional answers to discrete questions, a service model can work. If you need someone who knows the business well enough to tell you the question you should have asked, you need a named, senior GC on retainer, whatever the website calls it.
